These Terms of Service (“Terms”) govern your access to and use of Militarize.com and any related websites, pages, accounts, features, services, communications, promotions, and online stores operated by MLTRZ Inc., doing business as Militarize (“Militarize,” “MLTRZ,” “we,” “us,” or “our”) (collectively, the “Services”).

By accessing or using the Services, creating an account, making a purchase, submitting a donation, participating in a promotion or sweepstakes, or otherwise interacting with Militarize, you agree to these Terms and our applicable policies.

If you do not agree to these Terms, you should not use the Services.

1. About Militarize

Militarize operates an online marketplace focused on connecting the military and veteran community with products, brands, discounts, promotions, charitable initiatives, sweepstakes, and other opportunities.

Products available through Militarize.com may include merchandise sold directly by Militarize as well as products supplied and fulfilled by participating third-party brands and suppliers.

Militarize also conducts marketing campaigns, administers sweepstakes and promotions, and supports charitable fundraising initiatives, including campaigns benefiting Retask Foundation, a U.S. public charity recognized under Internal Revenue Code §501(c)(3).

2. Eligibility to Use the Services

You must be legally capable of entering into a binding agreement to make purchases or engage in transactions through the Services.

Certain features, discounts, promotions, sweepstakes, or benefits may have additional eligibility requirements, including age, residency, military affiliation, veteran status, or other criteria.

Eligibility for a particular sweepstakes or promotion is governed by the Official Rules applicable to that promotion.

3. Customer Accounts

You may have the opportunity to create an account with Militarize.

You are responsible for providing accurate and current information and for maintaining the confidentiality and security of your account credentials. You are also responsible for activity conducted through your account unless caused by circumstances outside your reasonable control.

You agree to promptly notify us if you believe your account has been accessed or used without authorization.

We reserve the right to suspend, restrict, or terminate accounts that we reasonably believe are being used fraudulently, unlawfully, abusively, or in violation of these Terms or another applicable policy.

4. Military and Veteran Status

Certain features, discounts, promotions, offers, or benefits available through Militarize may be intended specifically for members of the military, veterans, or other eligible groups.

Militarize currently permits customers to self-identify or self-attest their military or veteran status for certain purposes.

You agree that any military, veteran, or eligibility information you provide will be truthful and accurate.

We reserve the right to request reasonable documentation or use other verification procedures in the future when necessary to verify eligibility, prevent fraud, administer promotions, provide military-specific benefits, or protect the integrity of the Services.

Providing false military or veteran information may result in removal of applicable discounts or benefits, cancellation of promotional entries where permitted by applicable Official Rules, suspension or termination of an account, or other appropriate action.

5. Products and Marketplace Purchases

Militarize.com operates as an online marketplace.

Some products are sold and fulfilled directly by Militarize. Other products are offered through Militarize but supplied and fulfilled by participating third-party brands or suppliers.

When you purchase a supplier-fulfilled product through Militarize.com, your order may be transmitted to the applicable supplier for fulfillment. The supplier may ship the product directly to you.

As a result, a single order containing products from multiple brands may arrive in multiple packages, from different locations, using different carriers, and at different times.

Product availability, inventory, fulfillment times, shipping methods, and other fulfillment details may vary by supplier.

6. Product Information

We make reasonable efforts to present accurate product descriptions, photographs, pricing, availability, specifications, and other information.

For marketplace products, certain product information may be provided directly by participating brands or suppliers.

Actual product colors and appearance may vary depending on your device, display, photography, manufacturing variations, or other factors.

We do not warrant that every product description, image, price, specification, or other piece of information will always be completely accurate, current, or error-free.

If we discover a material error affecting an order, we may contact you to provide available options, which may include correcting the error or canceling and refunding the affected item.

7. Prices and Payment

Prices are displayed in U.S. dollars unless otherwise indicated.

Prices, discounts, promotions, and product availability may change without notice before an order is placed.

Applicable taxes, shipping charges, and other charges will be displayed or calculated as part of the checkout process where required.

Payments are processed through Shopify and applicable payment processors. By submitting payment information, you represent that you are authorized to use the selected payment method and authorize the applicable charges associated with your transaction.

We reserve the right to refuse, cancel, or limit an order when reasonably necessary because of suspected fraud, unauthorized activity, pricing or inventory errors, product unavailability, payment issues, legal requirements, or misuse of the Services.

If we cancel an order after payment has been collected, the applicable amount will be refunded.

8. Order Acceptance and Availability

Submitting an order does not necessarily guarantee acceptance or fulfillment.

Products may become unavailable because of inventory changes, supplier availability, technical errors, simultaneous purchases, discontinued products, or other circumstances.

For marketplace products, inventory information may originate from the applicable supplier and can change.

We reserve the right to cancel or modify an order when a product is unavailable or cannot reasonably be fulfilled. If an affected product has already been paid for, the applicable amount will be refunded.

9. Shipping and Delivery

Shipping times and methods vary depending on the product, destination, and fulfillment provider.

Products supplied by third-party brands may be shipped directly from those suppliers. Shopify Collective is designed so that applicable supplier orders are forwarded to the supplier for direct fulfillment, with tracking information syncing back to the retailer's store.

Estimated shipping or delivery dates are estimates and are not guaranteed unless expressly stated otherwise.

Militarize is not responsible for delays caused by carriers, weather, natural disasters, incorrect customer information, customs, governmental action, supplier delays, or circumstances outside our reasonable control.

Additional terms concerning shipping are provided in our Shipping Policy, which is incorporated into these Terms by reference.

10. Returns, Refunds and Exchanges

Returns, refunds, exchanges, cancellations, and damaged or incorrect products are governed by our Return & Refund Policy, which is incorporated into these Terms by reference.

Marketplace products may be returned directly to the supplier that fulfilled the order depending on the applicable return process.

Shopify Collective permits retailers to establish return rules under which suppliers can process returns, provide return labels, receive returned merchandise, and coordinate refunds.

Customers should not send merchandise to Militarize's business mailing address unless specifically instructed to do so.

11. Charitable Donations

Militarize may provide opportunities through the Services to make donations supporting Retask Foundation or another clearly identified charitable organization or campaign.

The intended charitable beneficiary will be identified in connection with the applicable fundraising opportunity.

Unless otherwise stated, charitable donations are voluntary and separate from purchases of merchandise.

Donations are generally final and non-refundable except in cases involving processing errors, unauthorized transactions, or where otherwise required by applicable law.

The availability of a charitable deduction depends on applicable tax law and the circumstances of the contribution. You should consult your own tax adviser regarding the deductibility of any contribution.

12. Sweepstakes, Giveaways and Promotions

Militarize may sponsor, administer, advertise, or otherwise participate in sweepstakes, giveaways, contests, and other promotions.

Each sweepstakes or promotion is governed by separate Official Rules.

The applicable Official Rules may establish requirements concerning eligibility, geographic restrictions, age, entry periods, methods of entry, free alternative methods of entry, entry limits, prizes, approximate retail values, winner selection, verification, taxes, publicity, releases, and other conditions.

If these Terms conflict with the Official Rules for a particular sweepstakes, the Official Rules will control with respect to that sweepstakes.

Unless expressly stated otherwise in the applicable Official Rules, no purchase or donation is necessary to enter or win, and a purchase or donation will not improve an entrant's odds of winning.

Sweepstakes entries have no cash value and may not be sold, transferred, assigned, exchanged, or redeemed for cash.

We reserve the right to investigate suspected automated entries, manipulation, fraud, abuse, false information, circumvention of entry limits, or other conduct prohibited by the applicable Official Rules.

13. Promotional Entries Associated With Purchases or Donations

Certain sweepstakes may offer promotional entries in connection with qualifying purchases, donations, promotional activities, referrals, military eligibility, or other actions.

The number and treatment of promotional entries are determined exclusively by the Official Rules and promotional terms applicable to the particular sweepstakes.

Returning, canceling, refunding, reversing, disputing, or charging back a transaction associated with promotional entries may result in the corresponding entries being canceled or adjusted to the extent permitted by the applicable Official Rules and applicable law.

A free alternative method of entry will be provided where required and as described in the applicable Official Rules.

14. Discounts and Promotional Offers

Militarize may offer discount codes, military discounts, promotional pricing, bonus offers, limited-time promotions, or other benefits.

Unless otherwise stated, promotional offers have no cash value, cannot be exchanged for cash, and may be subject to expiration dates, product exclusions, eligibility requirements, purchase requirements, or other conditions.

We may modify or discontinue promotional offers prospectively at any time unless prohibited by law.

Attempts to misuse, reproduce, manipulate, resell, or fraudulently obtain promotional benefits may result in cancellation of the benefit or other appropriate action.

15. Third-Party Brands and Suppliers

Militarize works with independent brands and suppliers whose products may be sold through the Services.

These third parties are separate businesses and are responsible for matters within their control, including the accuracy of information they provide to us, manufacturing, product quality, inventory, packaging, and fulfillment.

Militarize will make reasonable efforts to assist customers with marketplace-order issues and coordinate with the applicable supplier when appropriate.

Nothing in these Terms eliminates any rights or remedies that cannot lawfully be waived under applicable consumer-protection law.

16. Third-Party Services and Links

The Services may contain integrations with or links to third-party websites, social-media platforms, payment providers, brands, suppliers, applications, or other services.

We do not control independent third-party services and are not responsible for their content, availability, security, policies, or practices.

Your interaction with a third-party service may be governed by that third party's own terms and privacy policies.

17. Intellectual Property

Unless otherwise indicated, the Militarize website and its original content, branding, logos, graphics, designs, software, text, photographs, videos, and other materials created or owned by Militarize are owned by or licensed to MLTRZ Inc. and are protected by applicable intellectual-property laws.

Third-party trademarks, product names, logos, photographs, and other materials remain the property of their respective owners.

You may use the Services for lawful personal and non-commercial purposes.

You may not reproduce, copy, modify, distribute, sell, exploit, scrape, republish, reverse engineer, or commercially use protected portions of the Services without authorization, except where permitted by law.

18. User Content

If you submit reviews, photographs, comments, testimonials, feedback, social-media content, or other materials to Militarize (“User Content”), you represent that you have the right to provide that content and that it does not violate applicable law or the rights of another person.

By submitting User Content for publication or promotional use, you grant MLTRZ Inc. a non-exclusive, worldwide, royalty-free license to use, reproduce, display, distribute, adapt, and publish that content in connection with the Services, marketing, advertising, and promotion of Militarize, subject to applicable law.

You retain ownership of your User Content.

19. Prohibited Conduct

You may not use the Services to engage in fraud or unlawful activity; impersonate another person; provide materially false information; falsely represent military or veteran status; interfere with website security or operation; introduce malicious software; scrape or harvest information through unauthorized automated means; manipulate purchases, discounts, promotions, reviews, referrals, or sweepstakes entries; attempt unauthorized access to accounts or systems; infringe intellectual-property or privacy rights; or otherwise misuse the Services.

We may investigate suspected violations and take reasonable action, including restricting access, canceling transactions or promotional benefits, suspending accounts, or referring matters to appropriate authorities where warranted.

20. Privacy

Our collection and use of personal information are governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using the Services, you acknowledge that you have had an opportunity to review our Privacy Policy.

21. Electronic Communications

By using the Services, you consent to receive transactional and administrative communications electronically, including order confirmations, shipping notices, account notices, return communications, sweepstakes communications, and legal notices where permitted by law.

Marketing email and SMS communications are subject to applicable consent requirements and the opt-out procedures described in our Privacy Policy and at the point of enrollment.

Consent to receive marketing communications is not required as a condition of making a purchase or donation.

22. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the Services are provided on an “as is” and “as available” basis.

We do not guarantee that the Services will always be uninterrupted, secure, error-free, or available at all times.

Except for warranties expressly provided by Militarize or rights that cannot legally be excluded, we disclaim implied warranties to the fullest extent permitted by applicable law.

Products supplied by third-party brands may also be subject to warranties offered by the applicable manufacturer or supplier.

23. Limitation of Liability

To the fullest extent permitted by applicable law, MLTRZ Inc. and its officers, directors, employees, agents, affiliates, and representatives will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to your use of the Services.

To the fullest extent permitted by applicable law, MLTRZ Inc.'s aggregate liability arising from a purchase will not exceed the amount you paid to Militarize for the product or transaction giving rise to the claim.

These limitations do not apply to liability that cannot legally be limited or excluded.

24. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless MLTRZ Inc. and its officers, directors, employees, agents, affiliates, and representatives from claims, damages, liabilities, losses, and reasonable expenses arising from your unlawful misuse of the Services, your material violation of these Terms, or your infringement of another person's rights.

This provision does not require you to indemnify any party for conduct for which indemnification cannot lawfully be required.

25. Governing Law

These Terms and your use of the Services are governed by the laws of the State of Utah, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Nothing in these Terms deprives consumers of protections afforded by laws that cannot contractually be waived.

26. Disputes

Before initiating formal legal proceedings, you and MLTRZ Inc. agree to make a reasonable good-faith effort to resolve disputes informally.

You may begin this process by contacting info@militarize.com and describing the issue.

Unless applicable law requires otherwise, legal proceedings arising from these Terms or the Services shall be brought in an appropriate state or federal court located in Utah.

27. Changes to the Services

We may modify, suspend, discontinue, or change portions of the Services, products, features, programs, promotions, or marketplace offerings at any time.

We are not obligated to continue offering a particular product, supplier, feature, promotion, discount, or service indefinitely.

28. Changes to These Terms

We may update these Terms periodically to reflect changes in our Services, marketplace, business practices, technology, or legal requirements.

When these Terms are updated, we will revise the “Last Updated” date at the top of this page.

Your continued use of the Services after updated Terms become effective constitutes acceptance of the revised Terms to the extent permitted by applicable law.

29. Severability

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect to the extent permitted by law.

30. Entire Agreement

These Terms, together with our Privacy Policy, Return & Refund Policy, Shipping Policy, applicable Sweepstakes Official Rules, and any other terms expressly incorporated by reference, constitute the agreement between you and MLTRZ Inc. concerning your use of the Services.

For a particular sweepstakes or promotion, its Official Rules control in the event of a conflict concerning that promotion.
